Terms of Service
The agreement between you and us for using the service.

These terms are a contract between you and VERXION LLC ("we", "us") for the use of TickerAI, the website at tickerai.cloud, and the related apps and APIs (together, the "Service"). By creating an account you accept them. If you do not accept them, do not use the Service.
1. What TickerAI is, and is not
TickerAI is software. It uses artificial intelligence to analyse market data, draw charts, propose trade ideas, size them against your account, check them against risk rules you set, and, when you instruct it to, place orders at your broker.
TickerAI is not a broker, a dealer, an investment adviser, a portfolio manager, or a financial institution. We do not hold your funds, we do not give personalised investment advice, and nothing produced by the Service is a recommendation to buy, sell or hold anything. Trade ideas are generated by a statistical model from historical price data, are provided for information only, and may be wrong. Please read the Risk Disclosure, which forms part of these terms.
2. Eligibility
You must be at least 18, legally able to enter into contracts, and not barred from using the Service under the laws of your country. It is your responsibility to make sure that trading the instruments you trade, and using an automated tool to do so, is lawful where you live.
3. Your account
Keep your login secure and tell us at once if you suspect unauthorised access. You are responsible for everything done through your account, including trades placed by the Service in auto-trade mode while it is switched on.
4. Broker connections and execution
You may connect brokerage accounts through our infrastructure provider. You warrant that each account is yours or that you are authorised to connect it.
Execution features (the "Open position" button and auto-trade mode) place real orders at your broker. Before they are available you must accept the trading-risk notice in the app. Every order is checked against the risk settings you have chosen, but those checks are safeguards, not guarantees. Markets gap, brokers reject or partially fill orders, connections drop, and stop losses are not always honoured at the price you set. You accept all of these risks.
You can turn execution off at any time in Settings → Trading, disconnect an account, or connect accounts read-only. We may suspend execution features for maintenance or safety without notice.
5. Acceptable use
Do not use the Service to break the law or your broker's terms, to manipulate markets, to reverse-engineer or overload the Service, to scrape it, to resell it, or to submit content that is unlawful or infringes others' rights. We may suspend or close accounts that do.
6. Plans, credits and payment
Paid plans are billed in advance, monthly or yearly, through Stripe. Credits meter AI usage as described in the app. Unused monthly credits do not roll over; purchased top-up credits do not expire while a paid plan is active. Prices may change with at least 30 days' notice; changes take effect at your next renewal. Cancelling stops renewal; you keep access until the end of the period you have paid for. Refunds are governed by the Refund Policy.
7. Intellectual property
We own the Service and its content, and you get a limited, revocable, non-transferable licence to use it. You own the content you submit and the outputs generated for you, and you give us a licence to store and process them to provide the Service. Feedback you send us may be used without obligation.
8. Third-party services
Broker connectivity is provided by MetaKit Cloud, payments by Stripe, and AI responses by the model providers listed in the app. Their availability and conduct are outside our control, and your use of them may be subject to their terms.
9. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows we disclaim all warranties, including accuracy, fitness for a particular purpose, and uninterrupted or error-free operation. Market data may be delayed or wrong. AI output may be inaccurate, incomplete, or entirely fabricated.
10. Limitation of liability
To the fullest extent the law allows, we are not liable for any trading losses, lost profits, lost data, or indirect, incidental, special or consequential damages arising from the Service, including from orders placed through it, however caused. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim. Some jurisdictions do not allow these limits, in which case they apply to the extent permitted.
11. Indemnity
You will indemnify us against claims arising from your breach of these terms, your trading, or your use of a broker account you were not entitled to connect.
12. Termination
You may close your account at any time from Settings. We may suspend or terminate accounts that breach these terms, present a security or legal risk, or have been inactive for more than twelve months on a free plan. Sections that by their nature should survive termination do.
13. Changes
We may update these terms. We will give notice of material changes in the app or by email at least 14 days before they take effect. Continued use after that is acceptance.
14. Governing law
These terms are governed by the laws of the jurisdiction in which VERXION LLC is organised, and disputes are subject to the exclusive jurisdiction of its courts, without prejudice to mandatory consumer protections where you live.
